Buy companies
Buy-side advisory
A well-executed acquisition can accelerate a company’s growth by years. A poorly priced or poorly integrated acquisition consumes cash and attention for a long time.
We run the process on the buyer’s side, from the thesis to the first 100-day plan.
What we do
- Acquisition thesis. What kind of company makes sense to buy, why, and how much it is worth paying.
- Mapping and outreach. We identify and qualify targets, including companies that are not for sale, and make the first approach discreetly.
- Valuation and structure. We value the target at the target’s own risk rate, not yours, and separate the stand-alone value from the value of synergies.
- Negotiation and due diligence. We lead the negotiation, coordinate auditors and lawyers and translate the findings into price and terms.
- Closing and integration. A 100-day integration plan, synergy capture and retention of key people.
Mistakes we avoid
- Overpaying for synergies you will have to capture on your own.
- Discounting the target’s cash flow at the buyer’s risk rate.
- Underestimating the risk of losing a key client or an operating partner after closing.
- Leveraging the acquisition to the point where debt service becomes the business’s biggest risk.
Frequently asked questions
Do you find companies that are not for sale?
Yes. Many of the best acquisitions start with an approach to a company that was not in a formal sale process.
How can the acquisition be financed?
With cash on hand, debt, an equity partner or deferred payments tied to performance (earn-out). We help choose and structure the right combination.
Do you have an acquisition thesis?
The first conversation is confidential and without commitment.
