Sell your company

Sell-side advisory

Many business owners negotiate on their own and close good deals, but rarely know what they left on the table. There is no second chance to renegotiate the sale of the same asset.

Our role is to make sure that, when you sit down to negotiate, you have the most information, the best positioning and, above all, more than one interested buyer.

When selling makes sense

  • You want to turn part of your equity in the company into liquidity.
  • Family succession is unclear or not desired.
  • Your sector is consolidating and strategic buyers are active.
  • The company needs a partner with capital, network or technology to take the next step.
  • You received an unsolicited offer and want to know whether it is a good one.

How we run a sale

  1. Diagnosis and mandate. We understand your objectives (price, timing, staying in management, full or partial sale) and assess whether it is the right time.
  2. Preparation. We organize figures and information and prepare the business plan, the anonymous teaser and the information memorandum.
  3. Valuation and pre-diligence review. We define a defensible value range and anticipate what the buyer will find in due diligence, so it can be fixed beforehand.
  4. Buyer outreach. We map and qualify strategic buyers, private equity funds and family offices, always under a non-disclosure agreement.
  5. Negotiation. We compare offers, coordinate due diligence and negotiate price and structure.
  6. Closing. We follow the agreement, signing and settlement, together with the client’s legal advisers.

Price is not everything

The headline value of a sale is rarely what the seller receives. Earn-outs, cash and debt price adjustments, escrow accounts and liability for contingencies determine how much actually stays with you. Negotiating these clauses as rigorously as the price is a core part of our work.

An adviser is not a broker

A financial adviser has a fiduciary duty: it puts the client’s interests ahead of its own. Our fees combine a structuring fee and a success fee, which aligns our result with yours and ensures technical dedication throughout the process.

Frequently asked questions

How long does it take to sell a company?

A well-run sale usually takes 6 to 12 months from signing the mandate to closing. The timeline depends on how organized the information is, the sector and the complexity of due diligence.

Do I need to sell 100% of the company?

No. You can sell a majority or minority stake, bring in an equity partner or combine a sale with staying in management for a transition period.

How is confidentiality maintained?

Buyers first receive a teaser without the company’s name. Detailed information is only shared after a non-disclosure agreement is signed and the interested party is qualified.

What is my company worth?

It depends on cash generation, risk and market timing. See how we approach valuation.

How much does the advisory cost?

Fees combine a structuring fee and a success fee on the transaction value. We present a proposal after the first conversation, once we understand the scope.

Wondering whether it is time to sell?

The first conversation is confidential and without commitment.
